You will own the governance work that keeps the business running smoothly day to day. That includes preparing board and committee meetings, maintaining statutory filings and registers, tracking compliance deadlines and controlling governance and policy documents. You will work with Ireland and UK governance requirements and coordinate across internal departments, auditors and regulators.
The role is central to keeping ACE well governed, compliant and audit-ready. It suits a governance professional who enjoys structure, accuracy and seeing every action through to completion.

2. Responsibilities
Board & Committee Support
- Schedule board and committee meetings and coordinate attendance.
- Prepare and format board packs, and compile and circulate documents within agreed timelines.
- Take draft minutes during meetings and finalise them for approval.
- Maintain meeting records, attendance logs and action trackers, and follow up on board actions until they are closed.
- Maintain governance calendars for Ireland and the UK, where applicable.
- Track compliance deadlines and send timely reminders to relevant stakeholders.
- Prepare governance reports and updates for the Company Secretary and the board.
- Coordinate board evaluations and governance reviews.
- Prepare and submit statutory filings, such as Companies Registration Office (CRO) filings in Ireland.
- Maintain and update statutory registers, including directors, shareholders and others.
- Keep corporate records accurate, organised and up to date.
- Manage document repositories and filing systems.
- Draft corporate documents, including board resolutions, meeting minutes, and standard forms and templates.
- Track document status and follow up on pending approvals.
- Maintain logs of legal and governance documents.
- Coordinate the drafting and review of corporate policies with the Legal Manager and Company Secretary.
- Keep central records of all policies at Group and entity level.
- Track policy renewals, approvals and adoptions, making sure updates are timely and versions are controlled.
- Maintain governance trackers, such as compliance logs and risk registers.
- Follow up with internal stakeholders on outstanding actions.
- Escalate overdue items to the Company Secretary when needed.
- Coordinate with internal departments to collect governance inputs.
- Log and track queries from auditors, regulators and internal teams.
- Make sure responses are followed up and properly documented.
- Prepare periodic governance and compliance reports.
- Keep reporting schedules aligned with board timelines.
- Make sure all documentation is accurate and complete.
- Maintain standard templates for governance documents.
- Keep documents properly organised and under version control.
- Drive continuous improvement of governance and administrative processes.
- Support the Company Secretary as custodian of all governance and policy documents, keeping records accurate and accessible.
Qualifications & Experience
- Bachelor's degree in Business Administration, Law, Finance or a related field.
- Working towards, or committed to pursuing, a Company Secretary or governance qualification is desirable, for example ICSA / CGI, ICSP or equivalent.
- 4–6 years of experience in corporate governance, company secretarial, legal or compliance roles, with responsibility for owning workstreams at Assistant Manager level.
- Experience in a structured, deadline-driven corporate environment.
- Proven experience handling documentation and trackers and coordinating multiple tasks at once.
- Working understanding of corporate governance and compliance processes. Exposure to Irish or UK company law requirements is an advantage.
- Strong proficiency in Microsoft Office (Word, Excel, PowerPoint, Outlook).
- Strong document formatting and professional writing skills.
- Experience managing trackers, logs and calendars with a high level of accuracy.
- Strong document management and record-keeping skills.
- Organisation and time management: able to manage several deadlines at once.
- Attention to detail: consistently accurate in every output.
- Ownership: sees work through to completion without close supervision.
- Stakeholder coordination: confident following up with stakeholders at all levels, including senior management.
