Role Overview:
We are seeking an experienced and qualified Group Company Secretary to act as Company Secretary for our entities registered in the United Kingdom and Ireland. This is a strategic governance role responsible for ensuring both companies comply with their statutory and regulatory requirements while supporting the Boards and executive management with sound governance advice and efficient board administration. This is a dual-function role that combines strategic governance responsibilities with hands-on support for the CEO. The successful candidate should be willing and able to travel between the UK and Ireland as required to support Board and governance functions.

Role Overview:

Key Responsibilities:
Corporate Governance & Board Support
- Act as Company Secretary for both the UK and Irish entities.
- Organise, attend, and minute Board and Committee meetings for both entities.
- Ensure timely circulation of agendas, board packs, and accurate recording of minutes.
- Maintain statutory registers and ensure compliance with company law in both jurisdictions (Companies Act 2006 for the UK and Companies Act 2014 for Ireland).
- Advise the Board on corporate governance best practices.
- Assist in the evaluation of Board performance and effectiveness reviews.
Statutory & Regulatory Compliance
- Ensure timely filing of annual returns, financial statements, and statutory forms with Companies House (UK) and the Companies Registration Office (Ireland).
- Support compliance with regulatory obligations applicable to both jurisdictions.
- Oversee the maintenance of corporate records, including constitutional documents, resolutions, and share registers.
Legal and Administrative Duties
- Coordinate the execution of legal documents and ensure appropriate record-keeping.
- Support changes to company structures, directors, and shareholders across both entities.
- Ensure timely updates to regulators on corporate governance and structural changes.
Stakeholder Engagement
- Serve as a key point of contact for Board members, regulators, auditors, and legal advisors in both jurisdictions.
- Coordinate with internal departments to support governance-related initiatives and audits.
Group-level Support
- Harmonise governance practices across the UK and Irish entities.
- Develop and implement policies and procedures to support consistent governance standards group-wide.
- Support cross-border decision-making and ensure alignment between both Boards.
Executive Support to the CEO
- Provide proactive executive support to the CEO across both entities, including diary and inbox management, prioritisation of tasks, and preparation of briefing notes.
- Coordinate internal and external meetings, town halls, and other senior-level engagements.
- Draft and review internal communications, reports, and presentations for or on behalf of the CEO.
- Assist with strategic initiatives and ensure timely follow-up on action items delegated by the CEO
- Handle confidential and sensitive information with the utmost discretion and professionalism.
Qualifications and Experience:
- Qualified Company Secretary (e.g., ICSA: The Chartered Governance Institute or equivalent).
- Minimum 3 to 5 years of experience in a company secretarial or governance role, ideally with cross-border exposure.
- Strong working knowledge of UK and Irish corporate and regulatory requirements.
- Experience working with regulated financial services firms is preferred.
- Excellent organisational, communication, and drafting skills.
- High level of integrity and professionalism with a strong commitment to corporate governance.
Desirable:
- Legal qualification or background.
- Familiarity with Central Bank of Ireland and FCA regulatory frameworks.
- Experience supporting multiple boards or group structures.
- Ability and willingness to travel between the UK and Ireland as required to fulfil Board or regulatory obligations.
