Role Overview
 

The Board is seeking to appoint an experienced Non-Executive Director with a strong financial background to its UK entity. The successful candidate will bring independent and objective judgement to Board deliberations, provide constructive challenge to the Executive team, and strengthen the Board's oversight of financial reporting, risk management and internal controls across the Group's regulated operations. This is a significant governance appointment within a business operating in a highly regulated, multi-jurisdictional environment, and the successful candidate is expected to chair, or serve as a core member of, the Audit Committee.


Key Responsibilities
 

The Non-Executive Director will be expected to provide independent oversight of, and constructive challenge on, the Group's financial strategy, performance and reporting at Board level. In their capacity on the Audit Committee, whether as Chair or as a core member, they will oversee the integrity of the Group's financial statements, the effectiveness of the external audit process and the adequacy of the Group's financial controls, and will scrutinise management's financial performance against budget, forecast and strategic plan, holding the Executive team to account accordingly, in each case in accordance with the Committee's Terms of Reference.
The role also requires the Non-Executive Director to support the Board in its evaluation of major transactions, investments and financial commitments, including acquisitions and entry into new markets, and to bring financial expertise to Board discussions on funding strategy, treasury management and regulatory capital requirements. They will work collaboratively with the Chair of the Board, fellow Board members and Executive Directors to promote the long-term, sustainable success of the Group, while upholding the standards of governance, integrity and independence expected of a Non-Executive Director. Membership of any further Board committee will be agreed with the Chair, having regard to the Group's governance requirements and the candidate's particular expertise.


Candidate Profile
 

Essential

Candidates should hold a recognised professional accounting or finance qualification, such as an ACA (ICAEW), ACCA or CFA, or possess equivalent senior finance leadership experience, together with significant experience as a Chief Financial Officer, Finance Director, senior audit, or senior banking or financial services professional, typically comprising a minimum of five to eight years in such a role. A strong understanding of financial reporting standards under UK GAAP and IFRS, internal controls and audit processes is required, as is prior Board or Audit Committee experience, ideally gained within a regulated financial services or payments business. Candidates should be familiar with the regulatory requirements of the FCA, including safeguarding rules and the capital and liquidity obligations applicable to payment and e-money institutions, and should demonstrate sound commercial judgement together with the confidence to challenge constructively and hold management to account. Candidates must be of the highest personal integrity and able to satisfy the UK “fit and proper person” test, and should note that this role may require pre-approval by the FCA as a Senior Manager under the Senior Managers and Certification Regime (SM&CR), including designation as a Senior Management Function (SMF) holder, where applicable.

Desirable

Prior experience within the money transfer, payments, fintech or cross-border remittance sector would be advantageous, as would experience of multi-entity or international group structures spanning several regulatory jurisdictions, and existing Non-Executive Director or Committee Chair experience within an FCA-regulated firm.
